Welcome to Clarity Schedule. These Terms of Service ("Terms") govern your use of the Clarity Schedule software platform and related services (collectively, the "Service") operated by Clarity Schedule ("we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.
2. Description of Service
Clarity Schedule is an intelligent nurse scheduling and workforce management platform designed for healthcare organizations. Our Service includes:
- AI-powered predictive staffing and scheduling optimization
- Nurse empowerment tools including self-scheduling and wellness monitoring
- Operational efficiency features for budget and compliance management
- Communication and integration capabilities with EHR and HRIS systems
- Mobile applications for iOS and Android devices
- Analytics and reporting tools for workforce management
3. User Accounts and Registration
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
Healthcare organizations are responsible for managing user access and ensuring appropriate authorization for all users within their organization.
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Upload or transmit viruses, malware, or other malicious code
- Use the Service to harass, abuse, or harm others
- Share login credentials with unauthorized individuals
- Reverse engineer, decompile, or disassemble any part of the Service
5. Data Security and HIPAA Compliance
We understand the critical importance of protecting healthcare information. Clarity Schedule is designed to comply with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable healthcare privacy regulations.
Healthcare organizations using our Service may be required to execute a Business Associate Agreement (BAA) with us. We implement appropriate administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of protected health information (PHI).
Users are responsible for ensuring their use of the Service complies with all applicable healthcare privacy and security regulations in their jurisdiction.
6. Subscription and Billing
Clarity Schedule operates on a subscription basis. By subscribing to our Service, you agree to:
- Pay all fees associated with your subscription plan
- Provide accurate billing information
- Authorize automatic recurring charges unless cancelled
- Pay any applicable taxes
Subscription fees are billed in advance and are non-refundable except as required by law. We reserve the right to modify our pricing with 30 days' notice to existing subscribers.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Clarity Schedule and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any data you input into the Service. By using the Service, you grant us a limited license to use your data solely to provide the Service to you.
8. Service Availability
We strive to maintain high availability of our Service but cannot guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.
We will provide reasonable notice of planned maintenance when possible. Emergency maintenance may be performed without prior notice.
9. Limitation of Liability
To the maximum extent permitted by law, Clarity Schedule shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
10. Termination
Either party may terminate these Terms at any time. Upon termination:
- Your access to the Service will cease immediately
- We will provide you with access to export your data for 30 days
- We may delete your data after the export period expires
- All provisions that should survive termination will remain in effect
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
